Invalid Vault Password AND Unable to Restore Backup Quicken Data File. HELP!

I am having serious issues with Quicken at the moment.  Yesterday, I attempted to open my data file, but my Vault Password was not recognized.  I have not changed the Vault Password.  Then, when I attempted to re-open the data file, I received the message "Quicken cannot open the data file because it is in use by some other application.  Please close that application and try again."  I tried to restore my backup file, but was unable to do so as the program did not recognize what version of Quicken the data file was created with and is prompting me to do a file conversion.  Any idea what might be going on?  Any help is appreciated.  Thank you.
