Cannot Reset Account

I cannot download transactions from Chase because Quicken says the password is wrong--it isn't.
I try to reset the account and I get the message "Account PREMIER...... cannot be reset because there are downloaded transactions that must be accepted into the account register or transaction list." There are none to be found. The account does have a red flag against it in the accounts list. I have validated and repaired the file. Didn't do any good.

Thank you so much for this easy to follow solution. I have been having problems with matching my Quicken numbers with my investment account for some time now. All is well now!
