BDX-WAT spinoff

"The corporate spinoff menu option doesn't seem to work in this situation where BDX is spinning off WAT shares"

I don't understand what the problem is as, looking at the deal I'd think it should work. The statements I found:

BD spun off its Biosciences & Diagnostic Solutions business into a new entity, which then merged with a subsidiary of Waters.

BD shareholders will receive approximately 0.135 shares of Waters common stock for each share of BD common stock that they held as of the close of business on February 5, 2026, the record date for the spin-off, with cash in lieu of any fractional shares of Waters common stock.

U.S. holders of SpinCo Common Stock will not recognize gain or loss upon the receipt of Waters Common Stock pursuant to the Merger, except for any gain or loss recognized with respect to cash received in lieu of a fractional share of Waters Common Stock;

all says to me that the spin-off "wizard" should work just fine.

What, exactly is the problem?
